Terms of Service

1. Platform Description

CrowdFundWith ("the Platform," "we," "us," or "our") is an online marketplace that connects project creators with backers. CrowdFundWith provides infrastructure for creators to post projects and receive recurring monthly support from backers via Stripe Connect, a third-party payment processing service.

CrowdFundWith is not a bank, investment platform, or guarantee of outcomes. We facilitate transactions between creators and backers but are not responsible for the delivery, quality, or success of any project listed on the Platform.

2. Account Terms

2.1 Eligibility

You must be at least 18 years old to create an account on CrowdFundWith. By creating an account, you represent and warrant that you meet this requirement.

2.2 Accurate Information

You agree to provide accurate, current, and complete information when registering for an account. You are responsible for maintaining the accuracy of your account information and for keeping your credentials confidential.

2.3 One Account Per Person

Each person may maintain only one backer account. Creators may register one creator account per email address. Duplicate accounts may be suspended without notice.

2.4 Account Security

You are responsible for all activity that occurs under your account. Notify us immediately at support@crowdfundwith.com if you suspect unauthorized access to your account.

3. Creator Terms

3.1 Responsibility for Projects

Creators are solely responsible for the projects they post, including all descriptions, images, milestones, and any promises made to backers. CrowdFundWith does not verify the accuracy of project descriptions or the feasibility of stated goals.

3.2 Stripe Connect Requirement

To receive payments, creators must complete Stripe Connect onboarding and maintain a valid Stripe Express account in good standing. CrowdFundWith has no obligation to remit funds to creators who have not completed this process.

3.3 Honest Representation

Creators must represent their projects honestly. Fraudulent projects, misleading descriptions, or campaigns intended to deceive backers are strictly prohibited and may result in immediate account termination and reporting to relevant authorities.

3.4 Communication with Backers

Creators are expected to communicate regularly with their backers via the Platform's update and messaging system. Failure to maintain reasonable communication may result in account review.

3.5 Project Outcomes

CrowdFundWith does not require projects to succeed or deliver on stated goals. However, creators who receive funding and abandon projects without communication or reasonable effort may face account suspension.

4. Backer Terms

4.1 Voluntary Recurring Payments

Commitments made through CrowdFundWith are voluntary recurring monthly payments processed by Stripe. By committing to a project, you authorize Stripe to charge your payment method on a monthly basis until you cancel.

4.2 Cancel Anytime

You may cancel a commitment at any time from your profile page. Cancellations take effect at the end of your current billing period. No partial-month refunds are provided unless required by applicable law.

4.3 No Guarantees

CrowdFundWith does not guarantee that any project will be completed, that milestones will be reached, or that backers will receive any specific reward or outcome in exchange for their commitment. You are supporting a project, not purchasing a product or service.

4.4 Payment Failures

If a payment fails, Stripe will attempt to retry the charge. If retries fail, your commitment may be suspended. You are responsible for maintaining a valid payment method on file.

5. Platform Fees

5.1 Standard Tiers (12.5% Fee)

For commitments at $7, $14, and $21 USD per month, CrowdFundWith charges a 12.5% platform application fee via Stripe Connect. This fee is automatically deducted from each payment before funds are transferred to the creator.

5.2 Premium Tiers (0% Fee)

For commitments of $50 USD per month or above — including the $50, $100, $150, $500, $1,000, and $5,000 tiers — CrowdFundWith charges a 0% platform fee. 100% of the committed amount (less Stripe processing fees) is transferred directly to the creator.

5.3 Custom Amounts

For custom commitment amounts above $21 USD per month, no platform fee applies. For custom amounts of $21 or below, the 12.5% fee applies.

5.4 Stripe Processing Fees

All payments are subject to Stripe's standard payment processing fees, which are separate from CrowdFundWith's platform fee and are charged by Stripe directly. These fees are not controlled by CrowdFundWith.

6. AI Builder Terms

6.1 Optional Service

The AI Builder is an optional paid service that helps creators generate project pages using artificial intelligence. It is not included in standard creator registration.

6.2 Pricing Options

Creators who use the AI Builder may choose between: (a) a 25% platform fee on all revenue from the project, instead of the standard 12.5%, or (b) a one-time $100 CAD build fee plus the standard 12.5% platform fee.

6.3 Content Review

AI-generated content may require review and editing before publishing. Creators are responsible for reviewing all AI-generated content for accuracy, appropriateness, and compliance with these Terms before making a project live.

6.4 No Warranties on AI Output

CrowdFundWith makes no warranties regarding the quality, accuracy, or fitness for purpose of AI-generated content. AI-generated images and text are provided as-is.

7. Prohibited Uses

The following are strictly prohibited on CrowdFundWith:

• Fraudulent or deceptive projects or campaigns
• Projects promoting illegal activities
• Hate speech, harassment, or content targeting individuals or groups
• Projects involving weapons, drugs, or other regulated items
• Impersonating other creators, people, or organizations
• Using the Platform to collect backer funds with no intention of delivering on stated project goals
• Automated scraping, crawling, or data extraction beyond what the API explicitly permits

8. Intellectual Property

8.1 Creator Content

Creators retain all intellectual property rights to content they submit to CrowdFundWith, including project descriptions, images, updates, and other materials. By posting content, creators grant CrowdFundWith a non-exclusive, royalty-free license to display, reproduce, and distribute that content solely for the purpose of operating the Platform.

8.2 Platform IP

CrowdFundWith's name, logo, design, code, and all other proprietary elements are the exclusive property of CrowdFundWith. Nothing in these Terms grants you any right to use our intellectual property.

9. Limitation of Liability

To the maximum extent permitted by applicable law, CrowdFundWith shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform, including but not limited to lost profits, loss of data, or failure of a project to succeed.

CrowdFundWith's total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the total platform fees collected from transactions involving your account in the twelve (12) months preceding the claim.

10. Termination

CrowdFundWith reserves the right to suspend or terminate any account at any time, with or without notice, for violations of these Terms or for conduct we determine to be harmful to the Platform or its users. Upon termination, any pending commitments will be cancelled and Stripe will handle any outstanding payment obligations.

11. Dispute Resolution

If you have a dispute with another user (creator or backer), CrowdFundWith may, at its sole discretion, attempt to facilitate resolution but is not obligated to do so. CrowdFundWith is not a party to disputes between creators and backers.

Any dispute between you and CrowdFundWith arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the Canadian Arbitration Association.

12. Governing Law

These Terms of Service are governed by the laws of the Province of Quebec, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal proceedings arising from these Terms shall be conducted in the courts of the Province of Quebec.

13. Changes to These Terms

CrowdFundWith may update these Terms from time to time. We will notify registered users of material changes by email or by posting a notice on the Platform. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
